1. Agreement Overview
These Terms of Service ("Terms") govern the use of the Scalyth website, consulting engagements, software development deliveries, AI voice agent installations, and automation infrastructure engineered by Scalyth Systems ("Scalyth"). By accessing our web applications or signing an Engagement Agreement, you agree to these Terms.
2. Scope of Services & Deliverables
Scalyth delivers bespoke technology implementations including AI conversational voice systems, custom Next.js web applications, and backend automation pipelines. Every client project is bounded by an approved Statement of Work ("SOW") outlining milestones, timelines, acceptance criteria, and deliverable handoffs.

While Scalyth engineers deterministic safety guardrails and strict knowledge boundaries to prevent artificial intelligence hallucinations, the Client acknowledges that neural language models are probabilistic by nature. The Client is responsible for reviewing and verifying prompt directives, policy documents, and establishing human escalation protocols where appropriate.
5. Third-Party Infrastructure & Utility Costs
Client software may integrate with third-party utility APIs (such as Twilio, OpenAI, Anthropic, Deepgram, Vercel, or Stripe). Clients maintain direct billing accounts with these providers to ensure cost transparency and eliminate intermediary markups.
6. Warranties & Limitation of Liability
Scalyth delivers systems engineered to professional standards of code quality and industry best practices. Services are provided with staging smoke tests and acceptance periods as specified in your SOW. Scalyth shall not be liable for indirect, incidental, or third-party service provider outages.
